Welcome to Suite Collection. These Terms of Use (“Terms”) govern your access to and use of the Suite Collection website and services (collectively, the “Site” or “Services”). Suite Collection (“Company”, “we”, “us”, or “our”) is a luxury online travel agency that enables you to discover, book, and manage premium travel experiences. By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you do not agree with any part of these Terms, you must not use our Site.

Please read these Terms carefully, as they form a legally binding agreement between you and Suite Collection. These Terms apply to all visitors, users, and account holders of our Site. You represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this agreement. If you are using the Site on behalf of an organization or another person, you represent that you have authority to bind them to these Terms.

For your convenience, we have organized these Terms into sections with clear headings. Use the table of contents or headings to navigate specific topics.

1. User Accounts and Responsibilities

Account Registration: You may browse portions of our Site without creating an account. However, certain features (such as making a booking or accessing member-only deals) may require you to register for an account. If you choose to register, you agree to provide truthful, accurate, current, and complete information during signup and to promptly update your account data if it changes. You are responsible for maintaining the confidentiality of your account credentials, including your username and password. Do not share your login information with others. You are liable for all activities that occur under your account (except those that are our fault). If you suspect any unauthorized use of your account or a security breach, you must notify us immediately at welcome@suitecollection.com. We have the right to disable any account or login if we suspect a violation of these Terms or security risks.

Eligibility: The Site is intended for use by individuals 18 or older. By using the Services, you affirm that you are at least 18 years old (or the legal age in your jurisdiction) and are fully able and competent to enter into and comply with these Terms. If you are booking on behalf of additional travelers (such as family members) or if you allow a minor (under 18) to use the Services with your permission, you are responsible for supervising them and ensuring they understand and comply with these Terms. You agree that any information provided about other travelers is done with their consent. We do not knowingly permit children under 16 to create accounts or submit personal information (see our Privacy Policy regarding children’s data).

User Obligations and Acceptable Use: By using Suite Collection, you agree to:

  • Use the Site lawfully: You will use our Services only for legitimate travel-booking purposes and in accordance with all applicable laws and regulations. You will not use the Site for any fraudulent or illegal activities, such as making false reservations, speculative or phony bookings, or attempting to exploit the system.
  • Provide accurate information: You will ensure that all information you provide to us (including personal details, payment information, and traveler details) is true, accurate, and up-to-date. Do not impersonate any person or entity, or misrepresent your affiliation or authorization to act on behalf of others.
  • Respect others’ rights: You will not engage in behavior that infringes or violates the rights of any other party. This includes not uploading or transmitting any content that is defamatory, obscene, harassing, threatening, or otherwise objectionable, and not violating any intellectual property rights or privacy rights of others. If you post reviews, comments, or feedback on our Site (where allowed), you will ensure they are your honest opinions and comply with any content guidelines we provide.
  • No harmful interference: You must not misuse our Site by knowingly introducing viruses, malware, worms, logic bombs, or any other material that is malicious or technologically harmful. You agree not to attempt to gain unauthorized access to any portion of our systems, or to disrupt or interfere with the proper working of the Site (including by means of hacking, denial-of-service attacks, or similar). Similarly, you will not use any manual process or automated device (like bots, spiders, or scrapers) to data mine or extract content or information from our Site not made available for public display or provided through our API, without our prior written permission.
  • Follow booking rules: If you initiate a travel booking through our Site, you agree to abide by the specific terms and conditions of that booking (such as payment requirements, cancellation policies, and house rules from travel suppliers). Do not book travel or register on the Site for purposes of reselling to others or to compete with us. Commercial use of our Site (beyond making bookings for clients as a travel advisor with our authorization) is not permitted.
  • Keep your communications lawful and courteous: When communicating with our customer service or other representatives (via phone, email, chat, etc.), or with travel providers through our platform, you must not engage in abusive, racist, sexist, harassing, or otherwise inappropriate behavior. We reserve the right to terminate or restrict your access if such behavior is detected.

Failure to comply with these obligations constitutes a material breach of these Terms and may result in termination of your account or access (see Suspension and Termination below), and could also expose you to legal liability. We take misuse of our Services seriously and may report unlawful conduct to law enforcement.

User Content: If our Site allows users to post or submit content (for example, travel reviews, photos, or forum messages), any content you provide must be your own or you must have all necessary rights to share it. You retain ownership of your content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display that content in connection with providing and marketing our Services (subject to our Privacy Policy for any personal data). We reserve the right to remove or edit user content at our discretion if we believe it violates these Terms or our policies. You understand that we are not responsible for content posted by any user and that you use or rely on such content at your own risk. Please report any inappropriate user content or misuse of interactive features to welcome@suitecollection.com.

2. Booking and Payment Conditions

Suite Collection provides an online platform to research and book travel services (such as hotel stays, tours, transportation, etc.) provided by third-party travel suppliers (“Travel Providers”). When you make a booking through our Site, we act as an agent or intermediary to facilitate the reservation between you and the Travel Provider. Your booking is subject to these Terms and any additional terms and conditions of the respective Travel Provider, which will be made available to you during the booking process. It’s important you review those provider terms (such as hotel policies or airline conditions of carriage) because they, along with these Terms, govern your booking.

Booking Process: To make a booking, you will typically follow these steps: (a) select the desired travel service and provide required details for all travelers, (b) provide payment information to cover the cost, (c) review and accept any specific terms or policies (such as cancellation terms or rules of the service), and (d) submit the booking request. You should receive a booking confirmation page or email if the reservation is successfully completed. All bookings are subject to availability and confirmation by the Travel Provider. In some cases, your booking might be on request – we will let you know if that’s the case, and no charge will be made until confirmed.

Prices and Fees: The price for each travel service (whether a nightly rate, package price, fare, etc.) will be displayed prior to confirming your booking. We strive to ensure accurate pricing, but on rare occasions errors may occur. If a pricing error is discovered (e.g., due to a technical glitch or incorrect info from a supplier), we reserve the right to correct it. We will either offer you the opportunity to keep your reservation at the correct price or cancel the booking without penalty . Taxes and fees: Quoted prices generally include applicable taxes and mandatory fees unless stated otherwise. Some destinations or providers might charge additional fees locally (for example, resort fees, city tourism taxes, or airline baggage fees) which are beyond our control and typically must be paid by you directly to the provider. We will endeavor to inform you of such potential additional fees in the booking details.

In addition to supplier charges, Suite Collection may charge a service fee for facilitating your booking. Any such service fees (for example, a booking fee or processing fee) will be disclosed to you before you finalize your purchase. Service fees, if charged, are generally non-refundable, even if you later cancel or change your reservation (unless required by law or stated otherwise).

Payment: By providing a payment method (credit card, debit card, or other accepted form), you represent that you are authorized to use that method and you authorize us (or our third-party payment processor) to charge the full amount of your booking (including price, taxes, fees, and any travel insurance or add-ons selected) to that payment method. In some cases, we may offer the option to pay a deposit and the balance later – the booking page will specify if that’s available and the due dates. If any balance or subsequent payment is not made by the deadline, your booking may be canceled for non-payment. All currency will be as indicated (e.g., USD unless otherwise specified). If your card or bank operates in a different currency, you may be charged conversion fees or differing exchange rates, which are outside of our control.

Confirmation: After a successful payment, we will issue a confirmation (on-screen and/or via email) with your booking reference and details. This confirms our receipt of your booking request. The fulfillment of the booking is ultimately the responsibility of the Travel Provider. We do not guarantee that any travel service will actually be provided by the Travel Provider, but we will use reasonable efforts to assist in case of any issues. Keep your confirmation details; you may need to present them (with ID) when redeeming the service (e.g., at hotel check-in or tour departure).

Travel Provider Policies: Each Travel Provider has its own rules and policies. These can include check-in/check-out times, dress codes, minimum age requirements, pet policies, etc. For example, a hotel may require a credit card upon check-in for incidentals, or an excursion operator may require you to sign a waiver. You agree to abide by the terms and conditions of the providers for your reservation, including payment of any amounts when due and compliance with their rules regarding availability and use of fares, products, or services. We will provide you with the key terms or links to full terms of those suppliers during booking or in your confirmation. If you violate any of the provider’s terms, (for example, if you damage a hotel room or fail to comply with safety instructions on a tour), the provider may terminate the service and/or require you to leave, and you may not be entitled to a refund. You will also be responsible for any charges or fees due to such violations.

Cancellations and Changes by You: The cancellation and amendment policies vary by Travel Provider and the specific rate or product you book. Before completing a booking, you will be shown the cancellation terms – for instance, whether it’s non-refundable, refundable within certain dates, or changeable with a fee. If you need to cancel or change a reservation, you must notify us (or the provider, if directed) as early as possible. Cancellation requests are subject to the policy applicable to that booking. For example: a hotel booking might be free to cancel until 14 days before arrival, but non-refundable thereafter (incurring 100% charge) ; a flight might allow cancellation with an airline fee plus any fare difference for rebooking. We or the Travel Provider will confirm any applicable refund or charges. Please note that many travel bookings are non-refundable once finalized, especially discounted or promotional rates. Suite Collection is not able to override a supplier’s policy. In certain cases, we may charge an additional handling fee for processing changes or cancellations (we will disclose any such fee when you make the request, e.g. a $55 change processing fee). If you purchased travel insurance that covers trip cancellations, refer to your policy on how to file a claim.

Cancellations and Changes by Travel Providers: Sometimes, a Travel Provider may cancel or modify a booking due to unforeseen circumstances (overbooking, schedule changes, force majeure events like weather, etc.). We will do our best to notify you as soon as we are informed and assist in arranging alternative solutions or obtaining refunds. However, understand that such changes are outside Suite Collection’s control. For example, if an airline cancels a flight, their obligations (e.g., rebooking you or refunding) are determined by their contract of carriage and possibly by law, not by Suite Collection. We will support you in contacting the provider or finding a comparable alternative whenever possible. We also reserve the right to cancel a booking if we have reason to suspect it was unauthorized, fraudulent, or made in error. In such cases, we will attempt to contact you and/or issue a refund as appropriate.

Travel Requirements and Documents: It is your responsibility to ensure that you meet all foreign entry requirements and have all necessary travel documents, visas, passports, and immunizations for your trip. We may provide general information on our Site or confirmation about travel requirements (especially for international trips), but we do not guarantee its accuracy since requirements can change. You should check with relevant embassies or consulates well in advance. Airlines may refuse boarding if your documents are not in order, and neither Suite Collection nor the airline will be liable in such cases. Additionally, you are responsible for complying with any health, safety, or COVID-related regulations that may apply during travel (such as presenting vaccination proof or negative test results if required by destinations).

Travel Insurance: We strongly recommend that you purchase appropriate travel insurance to cover your trip. Travel insurance may cover personal injury, illness, loss/theft of belongings, and trip cancellations, among other risks. It is your choice and responsibility to obtain any such insurance. Read any policy carefully to ensure it meets your needs (including coverage for pre-existing conditions or pandemic-related events if relevant). Suite Collection is not an insurer and any insurance offered via our Site (if available) is provided by a third-party under their terms.

Important Travel Guidance: Travel can be unpredictable. Conditions in certain destinations may pose safety risks. By offering travel services in various destinations, Suite Collection is not guaranteeing that travel to those areas is without risk or advising that it is advisable. You should review travel advisories issued by your government’s foreign affairs or state department for any destination you plan to visit. For example, U.S. travelers can consult the State Department’s travel advisory website; other countries have similar advisories. It is your responsibility to evaluate travel risk and decide accordingly. We are not liable for any losses or harm you may incur by traveling to destinations with travel warnings or risks. Always exercise caution, respect local laws and customs, and ensure you have appropriate travel health insurance when abroad.

3. Relationship with Travel Providers

Suite Collection acts as a facilitator of travel bookings. We do not provide the actual travel services (we are not an airline, hotel, or tour operator). The contract for the travel service (like your hotel stay or flight) is between you and the Travel Provider. We have no control over the personnel, equipment, or operations of Travel Providers. Travel Providers are independent contractors, not agents or employees of Suite Collection. We are not liable for the acts, errors, omissions, representations, breaches, or negligence of any Travel Provider or for any personal injuries, death, property damage, or other damages or expenses resulting from their services. For example, if a hotel fails to honor your booking or an airline is delayed or a tour is not as described, any remedy lies against that provider, not Suite Collection, though we will assist you in dealing with them. You acknowledge that Suite Collection does not guarantee the quality or safety of the services provided by Travel Providers, and any ratings or reviews on our Site are for general information and not an endorsement.

Suite Collection’s role is to liaise with Travel Providers on your behalf: transmitting the details of your reservation and payment, and communicating any special requests or changes. We will provide customer support to the best of our ability to resolve issues that arise, but final decisions regarding availability, refunds, or accommodations are often at the provider’s discretion within the scope of their policies. You agree that your sole recourse for dissatisfaction or claims related to the actual travel experience (e.g., a hotel’s cleanliness, an airline’s service, a tour’s content) is with the Travel Provider, not with Suite Collection. In some cases, our customer service may act as an intermediary to seek refunds or alternate arrangements, but we cannot guarantee the outcome as we are not the service provider.

That said, we want you to have an excellent experience. If you encounter a serious issue with a Travel Provider (like a denial of service or a gross deviation from what was promised), please contact us as soon as possible. We will try to advocate for you, whether it means finding you another comparable service or negotiating with the provider. We value our relationships with reputable Travel Providers and expect them to uphold high standards for our clients.

4. Intellectual Property Rights

Ownership: The Suite Collection Site and all content and materials included in it (including but not limited to text, graphics, logos, button icons, images, videos, data compilations, software, and the compilation and arrangement thereof) are the intellectual property of Suite Collection or our licensors and are protected by copyright, trademark, and other intellectual property laws. Suite Collection™ and our logo are trademarks or service marks owned by us. Other trademarks, product names, and company names or logos on the Site may be trademarks of their respective owners. All rights not expressly granted to you in these Terms are reserved.

Permitted Use: We grant you a limited, revocable, non-transferable, non-exclusive license to access and make personal use of our Site. This license is conditioned on your compliance with these Terms. You may use the Site and its content solely for the purpose of researching and booking travel or related personal, non-commercial purposes. No other use is permitted. For example, you may download or print pages from the Site for your personal use in planning a trip, but you may not copy, distribute, or modify any part of the Site for any commercial purpose without our express written consent.

Restrictions: You must not: (a) Reproduce, duplicate, scrape, copy, sell, trade, resell or exploit for any commercial purpose any portion of the Site or its content without explicit permission. (b) Make derivative works based on the Site’s content or reverse-engineer any portion of our software. (c) Use any meta tags or other hidden text utilizing “Suite Collection” or any of our trademarks without our consent. (d) Use our Site’s content in any way that competes with our business or that would create any confusion that your offerings are associated with Suite Collection.

User Content and Feedback: Any suggestions, ideas, enhancement requests, feedback, recommendations or other information you provide to us regarding the Site or our Services (“Feedback”) is entirely voluntary. We will be free to use such Feedback as we see fit and without any obligation to you. If you submit creative ideas (like testimonials, contest entries, photos, or travel stories) and we share them on our platform or marketing, you grant us a non-exclusive, perpetual, royalty-free right to use, modify, and display that content in connection with our business (with attribution if appropriate). You represent that any content you submit (such as a review or photo) is your original work and does not infringe others’ rights. We may moderate or remove user-submitted content for any reason.

Third-Party Content: Our Site may display some content provided by third parties, including Travel Provider information (e.g., hotel descriptions, images, amenities) or reviews from other users. Such content is owned by the respective third parties. Suite Collection does not claim ownership of third-party content and all such information is used on the Site under license or permission. While we strive to have accurate descriptions and images, we cannot guarantee that third-party content is error-free or up-to-date. That content is provided “AS IS” for your convenience.

If you believe that any material on our Site infringes your copyrights or other intellectual property rights, please notify us in writing (for copyright, per the DMCA if applicable) with details so we can investigate and remove infringing content if necessary.

5. Disclaimers of Warranties

Site Provided “As Is”: Suite Collection strives to ensure that our Site is helpful and reliable, but we do not warrant or guarantee that all information is accurate, complete, or up-to-date. Your use of the Site and Services is at your own risk. To the fullest extent permitted by law, we provide the Site and Services on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied. We specifically disclaim any and all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.

In particular, Suite Collection makes no warranty that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) any defects or errors will be corrected (we do aim to correct known issues promptly, but we cannot guarantee instant fixes or that the site will be free of viruses or harmful components); (c) the content on the Site (including prices, descriptions, or Travel Provider information) is accurate or reliable. While we do our best to obtain and provide correct information, errors or omissions may occur. You should verify critical details (like visa requirements, or hotel amenities) independently when possible.

No Warranty for Travel Services: We also make no warranty regarding the quality or satisfaction of any travel products or services obtained through our Site. We are not responsible if a Travel Provider’s performance falls below expectations. We do not guarantee the availability of specific travel services or that a Travel Provider will not change or cancel a reservation (though we’ll try to assist in such cases as described). By listing travel services or facilitating reservations, we are not giving any personal endorsement or warranty about them. For example, listing a hotel does not guarantee it will be suitable for your needs; you should review ratings and make an informed decision.

Third-Party Websites: The Site may contain links to third-party websites or resources (for example, travel blogs, or airlines’ check-in pages). These are provided for convenience; Suite Collection does not endorse and is not responsible for the content, advertising, products, or other materials on or available from those sites. If you decide to access any third-party websites, you do so at your own risk and subject to their terms of use and privacy policies.

No Warranty on Data Security: While we employ security measures (see Privacy Policy), we do not warrant that the Site is completely secure or impervious to hackers or cyber-attacks. You acknowledge that any data transmitted via the internet may be at risk. We will notify users in the event of a known data breach as required by law.

Travel at Your Risk: Any travel or destination information provided on our Site (such as guides, recommendations, or safety tips) is for general information only. We do not guarantee that travel to any destination is advisable or without risk, and are not liable for damages or losses that may result from travel to any destination. You should consult authoritative sources for travel advice (as noted in the Booking section).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, our warranties are limited to the minimum extent permitted by applicable law.

6. Limitation of Liability

To the Maximum Extent Allowed by Law, Suite Collection’s Liability to You is Limited. Under no circumstances will Suite Collection (or our affiliates, directors, officers, employees, or agents) be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of (or inability to use) the Site or the Services, or your travel bookings, whether based on contract, tort (including negligence), strict liability, or any other theory. This means we are not responsible for losses such as: loss of revenue or profit, loss of data, loss of business or anticipated savings, loss of goodwill, or other intangible losses; nor for damages relating to personal injury or property damage beyond the control of Suite Collection. For example, we will not pay damages for inconvenience, emotional distress, or lost opportunities resulting from a flight cancellation or hotel overbooking, as those are risks inherent in travel that should be addressed between you and the provider or through travel insurance.

In particular, Suite Collection shall not be liable for any acts or omissions of third-party Travel Providers, or for any injuries, damages, or losses caused to you or your companions during travel. This includes situations like airline defaults, hotel bankruptcy, or tour operator negligence. We are not liable for any delay, cancellation, overbooking, strike, force majeure, pandemic, government action, or other events beyond our direct control, and we will not provide compensation for such events beyond what the Travel Provider offers (unless required by law). For example, if a hurricane strikes your destination and your trip is cancelled, any refunds or alternate arrangements should come from the airline/hotel per their policies or insurance, not from Suite Collection (though we’ll help facilitate).

If, despite the above limitations, Suite Collection is found liable for any claim arising from your use of our Services or travel booking, our aggregate liability in any calendar year shall not exceed the total amount of service fees (if any) you paid to Suite Collection for the booking(s) in question, or US $500, whichever is lower. In other words, if we are deemed responsible for some error, the most we would pay you is a refund of our service fees or up to $500. This limitation reflects the fact that our role is as an agent and our direct earnings on a booking are limited. (Some jurisdictions do not allow such liability caps; if so, this cap may not apply to you, but in no event will our liability exceed the minimum amount mandated by law.)

Exceptions: The limitations of liability in this section do not intend to exclude liability for our own gross negligence, willful misconduct, or fraud, or for any injury caused by our failure to exercise due care, or other liability that cannot be excluded under applicable law (for example, certain consumer protection laws might not allow exclusion of liability for personal injury or death caused by negligence). However, to the extent those laws permit limitation of such liability, the above limitations shall apply.

You agree that any cause of action you may have arising out of or relating to the Site or our Services must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action is permanently barred. This does not apply where forbidden by law, but is intended to ensure timely resolution of disputes.

Indemnification: You agree to indemnify, defend and hold harmless Suite Collection, its affiliates, and their officers, directors, employees, and agents, from and against any third-party claims, demands, causes of action, debts, or expenses (including reasonable attorneys’ fees) arising out of: (a) Your breach of these Terms or any documents referenced herein; (b) Your violation of any law or the rights of a third party (including intellectual property or privacy rights); or (c) Your use of the Site or Services in violation of these Terms, including any use of the Site’s content other than as expressly authorized. For example, if you misuse the Site to make fraudulent bookings or if your negligence in using the Service causes a loss to someone which they then claim from us, you will cover us for that. Similarly, if you cancel a booking in violation of the provider’s terms and they charge us a fee, you agree to reimburse us for that charge. We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you (without absolving your indemnity obligations), in which case you agree to cooperate with our defense of that claim.

Consumer Rights: If you are using our Services as a consumer (for personal purposes and not business), certain disclaimers and limitations in these Terms may not apply to the extent prohibited by applicable consumer law. In particular, nothing in these Terms is meant to limit your statutory rights (such as legal protections regarding services being provided with reasonable care and skill, or rights in relation to faulty or misdescribed services). These Terms give you specific legal rights, and you may also have other rights which vary by jurisdiction.

In summary, we aim to do our best, but we cannot assume liability for all facets of your travel experience. We urge you to travel smart, insure your trips, and notify us of issues promptly so we can help mitigate them.

7. Dispute Resolution and Governing Law

Governing Law: This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of [Country/State], without giving effect to its conflict of laws principles. If you reside outside [Country], you might have the benefit of certain consumer protection provisions under the laws of your country of residence; these Terms will not deprive you of those protections if applicable. However, to the extent permitted, you agree that the laws of [Country] will govern any disputes.

Jurisdiction: You and Suite Collection agree that any dispute, claim or controversy arising out of or relating to these Terms or the use of the Services that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts of [City], [Country] (unless applicable law specifies otherwise for consumer disputes, in which case you may choose the jurisdiction of your domicile). You consent to the personal jurisdiction of such courts and waive any objections on inconvenient forum grounds, to the extent permitted by law. For example, if [City] is in [Country], you agree that any lawsuit against us must be filed in a court located in [City]. We reserve the right to seek injunctive or equitable relief in any jurisdiction to protect our intellectual property or confidential information.

Arbitration (if applicable): (If we want an arbitration clause, we can include it; if not, skip or mark this section as intentionally omitted.)

Optional Arbitration Clause: Arbitration Agreement: For users in the United States (or as otherwise determined by us), you and we agree to resolve any disputes through binding arbitration on an individual basis, rather than in court, except for matters that may be taken to small claims court. Arbitration means that an impartial arbitrator, instead of a judge or jury, will decide the dispute. (See below for details.)

  • Waiver of Jury Trial: By agreeing to arbitration, both parties waive the right to a jury trial.
  • No Class Actions: All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple-plaintiff or similar proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. You agree that you may bring claims against us only in your individual capacity and not as a plaintiff or class member in any purported class or representative action. If this class action waiver is found unenforceable, then the entirety of this arbitration clause shall be null and void.
  • Arbitration Procedure: The arbitration will be administered by [American Arbitration Association (AAA)] under its [Consumer Arbitration Rules], or by another established ADR provider mutually agreed upon, and judgment on the award may be entered in any court of competent jurisdiction.   • Exceptions: Either party may seek relief in a small claims court for small disputes within that court’s jurisdiction, and either party may seek injunctive or equitable relief for intellectual property infringement or misuse of the Services in a court of proper jurisdiction.

Arbitration Costs: Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules. We will reimburse consumer users for filing fees for claims under $10,000 unless the arbitrator finds the claims to be frivolous. We will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines your claims are frivolous.

Trial Waiver: If the above arbitration clause is not applicable (e.g., for users in jurisdictions where arbitration cannot be made binding or if the user opts out within a given period), both you and Suite Collection nonetheless agree to waive any right to a jury trial in any legal proceeding arising out of or related to these Terms or the Services, to the extent permitted by law.

Prevailing Party: In any legal action or proceeding to enforce rights under these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs (including on appeal), except as may be limited by consumer law or unless otherwise determined by the arbitrator or court.

Opt-Out: If you are a new user of the Services, you may opt out of the arbitration agreement (if included) by sending a written notice of your decision to opt-out to [email protected] or to our mailing address listed under Contact Us, within 30 days of your first use of the Services. If you do so, neither you nor Suite Collection can require the other to participate in an arbitration proceeding. Opting out of arbitration will not affect any other part of these Terms.

8. Suspension and Termination

Termination by You: You may stop using our Services at any time. If you have a registered account, you can choose to deactivate or delete it by contacting us. Termination of your account will not automatically cancel any confirmed bookings you have; please ensure to manage or cancel your bookings separately according to the applicable policies. If you terminate your account, we may retain certain information as required by law or for legitimate business purposes (see Privacy Policy for data retention info).

Suspension or Termination by Us: We reserve the right to suspend or terminate your access to our Site or Services, or deactivate your account, at any time for any reason, without notice, including if we, in our sole judgment, determine that: (a) you have violated these Terms or any other agreement or policy referenced (for example, if you engage in fraudulent activity, misuse the site, or fail to pay amounts due); (b) you have provided false or misleading information or are engaging in unlawful conduct; (c) you are infringing or misusing our or others’ intellectual property; or (d) your use of the Services is causing harm or liability to other users, third parties, or us. We may also suspend the Site for maintenance or discontinue certain features without notice.

If we suspend or terminate your account due to your breach, you will not be entitled to any refund of unused services or any other compensation, and you may be prohibited from re-registering or using the Services in the future. We may also take legal action against you if warranted.

Effect of Termination: Upon any termination of this Agreement, whether by you or us, the rights and licenses granted to you will cease immediately, and you must stop using the Site. However, any bookings made before termination will still be honored by these Terms (meaning that both we and you must respect obligations for those transactions – e.g., if you owe a balance payment, you must still pay it, and if we owe travel services, we’ll still facilitate them). The sections of these Terms that by their nature should survive termination (such as Intellectual Property, Disclaimers, Liability, Dispute Resolution, and General provisions) shall continue to apply.

If your account is terminated, we have the right to delete or deactivate your account and all related information and files, without liability to you. However, we may retain archival copies of some information as required by law or for legitimate business purposes.

9. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any other policies or guidelines referenced herein, constitute the entire agreement between you and Suite Collection with respect to the subject matter, and supersede any prior agreements or understandings (whether oral or written). You acknowledge that you have not relied on any representations or promises that are not expressly stated in these documents.

Amendments: We may update or modify these Terms from time to time. If we make material changes, we will notify you by posting a notice on our Site or by sending an email, and by updating the “Last Updated” date at the top. Your continued use of the Services after any changes indicates acceptance of the new Terms. If you do not agree to the revised Terms, you should stop using the Site and, if applicable, cancel your bookings (subject to the cancellation policies). For any changes to the Dispute Resolution/Arbitration section, we will give you specific notice and an opportunity to opt out, if required.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court or arbitrator, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The parties shall endeavor in good faith to replace any invalid or unenforceable provision with a valid one that, as closely as possible, achieves the intended economic effect of the original.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision. A waiver of any term shall only be effective if in writing and signed by our authorized representative.

Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may assign these Terms (in whole or part) to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all assets without your consent, provided that your rights are not materially affected. These Terms shall bind and inure to the benefit of the parties, their successors and permitted assigns.

Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, franchise, or agency relationship between you and Suite Collection. We are an independent contractor for all purposes. You have no authority to bind or obligate Suite Collection in any way, unless expressly authorized by us.

Notices: Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given: (a) by Suite Collection via email (to the address associated with your account) or by posting to the Site; or (b) by you via email to [official contact email] or by mail to our address provided in the Contact Us section. Notice by email is deemed received on the day it is sent (or the next business day if sent on a weekend or holiday). If you do not maintain a valid email, you assume responsibility for missing any notices. We recommend you keep your account information up-to-date.

Force Majeure: Suite Collection shall not be liable for any delay or failure in performance of the Services (including booking processing) resulting from causes outside our reasonable control, such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authority, fires, floods, accidents, strikes or shortages of transportation, facilities, fuel, energy, labor, or materials, pandemics, or changes in law (“force majeure”). In such events, we will attempt to give notice and resume service as soon as feasible. If a force majeure event significantly impairs a booked travel service, the Travel Provider’s own force majeure terms will apply (e.g., they may offer rebooking or credit). We will assist you in contacting the provider.

Headings and Interpretation: Section headings in these Terms are for convenience only and have no legal or contractual effect. Words like “including” mean “including without limitation.” The singular includes the plural and vice versa. If these Terms are translated into another language, the English version shall prevail to the extent of any inconsistency.
